On March 4, 2026, Farmer Brothers Coffee Co. and Royal Cup Coffee & Tea entered into a definitive agreement in which Royal Cup will acquire all outstanding shares of Farmer Brothers stock for $1.29 per share in an all-cash transaction. Farmer Brothers Board of Directors has unanimously approved the merger agreement and called a special meeting of our stockholders at which stockholders will have the opportunity to consider and vote upon a proposal to adopt the merger agreement.
